Terms of Service

By accessing the SoundTik website, purchasing a campaign, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Refund Policy, which are incorporated here by reference.

If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of a band, label, company, or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

SoundTik is a TikTok music-promotion service built for independent musicians. You submit a link to your song and purchase a campaign. We then engage vetted TikTok creators and pay them to make original videos that use your song, so that your sound has the opportunity to spread across TikTok.

During and after your campaign, you receive access to a dashboard that shows each creator video produced for your campaign along with available statistics such as views, likes, comments, and saves. These statistics are pulled from publicly available data and third-party sources and are provided for your information; we do not guarantee their real-time accuracy or completeness.

To use the Service, you must be at least 18 years old, or the age of majority in your jurisdiction if that is older, and you must be able to form a legally binding contract. By using the Service, you represent and warrant that you meet these requirements.

The Service is intended for use in connection with lawful music promotion. You may not use the Service if you are barred from doing so under applicable law or under the terms of TikTok or any other platform involved in your campaign.

Using the Service, including accessing your dashboard, may require an account. You agree to provide accurate, current, and complete information and to keep it up to date, including a valid email address and correct details about the song you submit.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@soundtik.com if you believe your account has been accessed without your authorization. We are not liable for losses arising from your failure to safeguard your credentials.

Campaigns are one-time purchases, not subscriptions. You pay once for a plan and receive the campaign described in that plan; we do not automatically renew or recurringly bill you for a completed campaign.

Signup, checkout, and payment for campaigns take place off-site through our external signup and checkout at https://aisongpromo.com/signup. When you complete a purchase there, you are transacting through that checkout and its payment processor, and your purchase is subject to any additional terms and processing that apply at that page in addition to these Terms. Please make sure the plan details and the song information you enter at checkout are correct before you pay.

This is important, so we want to be direct about it. A SoundTik campaign consists of real TikTok creators making original videos that use your song. We deliver creator videos according to the plan you purchase. We do not, and cannot, guarantee any particular outcome from those videos.

TikTok, its algorithm, its audience, and the broader music landscape are outside our control. Creator videos may perform very well, modestly, or not at all, and results vary from campaign to campaign and from song to song. Any examples, ranges, or past results we may show are illustrative only and are not a promise of what your campaign will achieve.

We stand behind the delivery of your campaign. Our campaign-protection promise concerns whether the creator videos in your purchased plan are actually delivered, not how those videos perform.

If creators do not deliver the videos included in your plan, we will either re-run the campaign to deliver the missing videos or refund the value of the undelivered videos. This remedy is limited to delivery of the videos in your plan and does not cover the performance, reach, or results of any video. Full details, timelines, and how to make a claim are set out in our Refund Policy, which controls in the event of any conflict with this summary.

You are solely responsible for the song and any other material you submit. You represent and warrant that you own or control all rights necessary to submit the song and to have it used in TikTok videos, including any rights of co-writers, producers, featured artists, labels, publishers, and rights-holders in any samples, and that your song does not infringe anyone else's rights.

You keep ownership of your music. Nothing in these Terms transfers ownership of your song to us or to any creator.

By submitting a song, you grant Soundtik and the TikTok creators participating in your campaign a non-exclusive, worldwide, royalty-free license to use, reproduce, and synchronize your song (and to make it available as a TikTok sound) in original TikTok videos created for your campaign, and to display, promote, and report on those videos as part of the Service and your dashboard. This license lasts as long as needed to run and report on your campaign and to keep created videos available on TikTok. You are responsible for any royalties, splits, or payments owed to third parties in connection with your song.

You agree to use the Service lawfully and in good faith. You may not use the Service in any way that harms us, creators, other users, or third parties, or that violates applicable law or platform rules.

SoundTik is an independent service. We are not affiliated with, endorsed by, sponsored by, or otherwise associated with TikTok or ByteDance Ltd. "TikTok" and related marks belong to their respective owners, and we reference them only to describe our Service.

Because your campaign takes place on TikTok, you are also responsible for complying with TikTok's Terms of Service, Community Guidelines, and other applicable policies. We are not responsible for TikTok's decisions, including any decision to remove content, restrict a sound, or take action on any account.

The SoundTik website and Service, including its design, text, graphics, logos, the "SoundTik" brand, software, and other content we provide (excluding your song and creator videos), are owned by Soundtik LLC or our licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service except as expressly permitted by these Terms or by us in writing.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that dashboard statistics will be accurate or continuously available, or that any campaign will produce any particular result. As stated in Section 6, we make no promise of virality, views, streams, chart positions, or other outcomes.

To the fullest extent permitted by law, Soundtik LLC and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost goodwill, or lost opportunities, arising out of or relating to the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you actually paid to us for the campaign giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Soundtik LLC and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your song or submitted content, your use of the Service, your breach of these Terms, or your violation of any law or the rights of any third party, including TikTok's terms and any rights-holder in your music.

We may suspend or terminate your access to the Service, or decline or cancel a campaign, if you breach these Terms, misuse the Service, submit content you do not have the rights to, or where we reasonably believe it is necessary to protect the Service, creators, other users, or third parties, or to comply with law.

If we cancel a campaign for reasons that are not your fault, any refund will be handled in accordance with our Refund Policy. Sections that by their nature should survive termination, including provisions on intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply.

We may update, improve, or discontinue parts of the Service over time. We may also update these Terms from time to time. When we make material changes, we will update the "effective date" above and, where appropriate, provide additional notice.

Changes take effect when posted unless we state otherwise. Your continued use of the Service after changes become effective means you accept the updated Terms. If you do not agree to the changes, you should stop using the Service.

These Terms are governed by the laws of the [State of formation], without regard to its conflict-of-laws rules, except where mandatory consumer-protection laws of your place of residence provide otherwise.

Before filing any formal claim, you agree to first contact us at legal@soundtik.com so we can try to resolve the matter informally. If we cannot resolve a dispute informally, you and Soundtik agree that the courts located in the [State of formation] will have jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to venue there, unless applicable law requires otherwise.
